Knowledgelab.training (“Knowledge Lab Site”, “Site”) is a website operated by Ultima Business Solutions Limited (“We”,“we”, “us”, “our”). We are a limited company registered in England and Wales under company number 02521249 and have our registered office at Gainsborough House, Manor House, Reading, Berkshire, RG2 0NA.

By using our Knowledge Lab Site you accept these terms

Please read these terms of use (“Terms”) carefully before using our Knowledge Lab Site. By using our Site as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected hereto, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you must not use our Site or any related training materials.

You are also responsible for ensuring that all of your personnel who access the Knowledge Lab Site are aware of these Terms and other applicable terms and conditions, and that your personnel comply with them.

  1. Changes to these Terms
    1.1. We may amend these Terms from time to time which shall come into effect immediately upon posting the modified Terms. Every time you wish to use our Site, please check these Terms to ensure you understand the terms that apply at that time. For the avoidance of doubt, any use of the Site by you after any such modified Terms have been posted will be deemed acceptance of the modified Knowledge Lab Site Terms by you.

  2. Changes to the Knowledge Lab Site
    2.1. We may update and change the Knowledge Lab Site and its contents, training modules and any other feature from time to time. We shall endeavour to give you reasonable notice of any major changes.

  3. Suspension or withdrawal of the Knowledge Lab Site
    3.1. We do not guarantee that the Knowledge Lab Site, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Site for business and operational reasons.
    3.2. You will be assumed to have obtained permission from the owners of the mobile telephone, handheld devices or other computing equipment which you are using to download the content that are controlled, but not owned, by you (“Devices”) and to download or stream a copy of the content onto the Devices. You and / or they may be charged by relevant service providers for internet access on the Devices. You accept responsibility in accordance with these Terms for the use of the content on or in relation to any Device, whether or not it is owned by you.

  4. Transfer of this agreement to someone else
    4.1. We may transfer our rights and obligations under these Terms and the Knowledge Lab Site to another organisation.

  5. Account Details
    5.1. When you are provided with a user identification code, password or any other piece of information as part of our security procedures (“UserID”), you must treat such information as confidential. You must not disclose it to any third party without our prior written consent.
    5.2. We have the right to disable any UserID, whether chosen by you or allocated by us, at any time without notice, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.
    5.3. You must notify your internal administrator in charge of your access to Knowledge Lab Site immediately if your UserID, or you become aware the UserID of another person:
    5.3.1. is lost;
    5.3.2. becomes or you suspect may become known or accessible to an unauthorised person; or
    5.3.3. is no longer to be used by you (or any other person) for any reason.
    5.4. On becoming aware of any unauthorised use of, or access to the Knowledge Lab Site, as well as providing your internal administrator with immediate notice, you or your internal administrator (as applicable) must take all the steps to ensure that such use or activity ceases and prevent a recurrence of it. We do not accept responsibility for actions taken by unauthorised persons.

  6. Use of the Knowledge Lab Site
    6.1. We make this Site available to you under licence either directly or via third-party resellers (Resellers). In providing you with an account or access link, we or a Reseller may permit you to access the Site and such access must in all times be in accordance with these Terms. You shall at all times remain responsible for your and your personnel’s use of the Site. These Terms apply in addition to the terms and conditions agreed between us and you or between a Reseller and you, as applicable.
    6.2. You agree to use the Knowledge Lab Site in line with these Terms and any other terms related to acceptable use that we make available to you or notify you of from time to time.

  7. Intellectual Property Rights
    7.1. We are the owner or the licensee of all intellectual property rights in our Site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
    7.2. We agree to grant you a fully paid-up, revocable, limited, worldwide, non-exclusive, royalty-free licence during
    the term set out in the Statement of Work agreed between us and you or between a Reseller and you, as applicable, for the purpose of receiving and using the Knowledge Lab Site content only.
    7.3. You may not sub-license, assign or otherwise transfer the license granted to you in these Terms unless agreed in advance by us in writing.
    7.4. You acknowledge that you have no right to have access to the content in source code form or in unlocked coding or with comments, or in a form that would facilitate reverse engineering, modification, or decompilation, unless explicitly permitted by applicable law or with our prior written consent.
    7.5. Our status (and that of any identified contributors) as the authors of content on our Site must always be acknowledged.
    7.6. If you print off, copy, download, share or repost any part of our Site in breach of these Terms, your right to use our Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made and you will forfeit your license as granted in these Terms.
    7.7. You retain all the ownership in the personal data you upload or post on the Knowledge Lab Site. We will use such personal data for the purposes of providing the services under these Terms and in accordance with our Privacy Policy. Subject to the foregoing, you agree and acknowledge that all other information / content you upload or post on Knowledge Lab Site will automatically be owned by us. For the avoidance of doubt, we will be able to use, reproduce, distribute, prepare derivative works of, display such information / content for our own purposes at our
    sole discretion, and across different media including to promote the Site or the services.
    7.8. We also have the right to disclose your identity to any third party who is claiming that any information posted or uploaded by you to the Knowledge Lab Site constitutes a violation of their intellectual property rights, or of their right to privacy. We have the right to remove any information you post or upload to the Site if, in our opinion, your post does not comply with our standards, these Terms and our Privacy Policy. You are solely responsible for securing and backing up your content. The Site may not be used to store terrorist content / information.

  8. Prohibited Activities
    8.1. When accessing our Knowledge Lab Site you shall not:
    8.1.1. Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from us;
    8.1.2. Attempt to impersonate another user or person or use the username of another user;
    8.1.3. Sell or otherwise transfer your profile;
    8.1.4. Use the Site as part of any effort to compete with us or otherwise use the Site and / or the content for any revenue-generating endeavour or commercial enterprise;
    8.1.5. Copy the content except where such copying is incidental to normal use of the content;
    8.1.6. Rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the content;
    8.1.7. Make alterations to, or modifications of, the whole or any part of the content, nor permit the content or any part of it to be combined with, or become incorporated in, any other content or programs without our prior written permission;
    8.1.8. Disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the software or applications which enable us to host and provide the content to you nor attempt to do any such thing except to the extent that such actions cannot be prohibited because they are essential for the purpose of achieving inter-operability of the content with another software program, and provided that the information obtained by you during such activities:
    8.1.8.1. Is not unnecessarily disclosed or communicated without our prior written consent to any third party; and
    8.1.8.2. Is not used to create any content which is substantially similar to the Knowledge Lab Site content or to or to attempt to commercialise the content on the Knowledge Lab Site as set out in clause
    8.1.4;
    8.1.9. Conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our Site or any services provided via, or in relation to, our Site. This includes using (or permitting, authorising or attempting the use of):
    8.1.9.1. Any “robot”, “bot”, “spider”, “scraper” or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the Site or any data, content, information or services accessed via the same;
    8.1.9.2. Any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations. The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of Digital Copyright Directive ((EU) 2019/790);
    8.1.9.3. This clause shall not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.
    8.2. In respect of any content you may upload or post on the Knowledge Lab Site:
    8.2.1. you may not post any content that is unlawful, fraudulent, and/ or harmful or any activity in connection therewith, including harming minors, bullying, or transmitting harmful software (e.g., viruses, spyware);
    8.2.2. any content must be accurate, and must not be defamatory, offensive, or promote illegal activity;
    8.2.3. you may not send unsolicited or unauthorised advertising, promotions, or spam;
    8.2.4. content must not infringe any intellectual property rights or breach confidentiality or legal duties to third parties; and
    8.2.5. you must not impersonate others or misrepresent your affiliation with any person or entity.

  9. Third Party Websites
    9.1. Where our Site contains links to other websites and / or resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those websites or resources.

  10. Limitation of Liability
    10.1. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.
    10.2. We exclude all implied conditions, warranties, representations or other terms that may apply to our Site or any content on it.
    10.3. We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
    10.3.1. use of, or inability to use, our Site; or
    10.3.2. use of or reliance on any content displayed on our Site.
    10.4. In particular, we will not be liable for:
    10.4.1. loss of profits, sales, business, or revenue;
    10.4.2. business interruption;
    10.4.3. loss of anticipated savings;
    10.4.4. loss of business opportunity, goodwill or reputation; or
    10.4.5. any indirect or consequential loss or damage.
    10.5. Our maximum aggregate liability under or in connection with these Terms whether in contract, tort, (including negligence) or otherwise, shall in all circumstances be limited to a sum of one thousand pounds (£1,000.00).

  11. Data Protection
    11.1. You agree that we may access, store, process and use any personal data that you provide for the purpose of providing the services through the Knowledge Lab Site, in line with our Privacy Policy.

  12. User Data
    12.1. We will maintain certain data that you transmit to the Knowledge Lab Site for the purpose of managing the performance of the Site, as well as data relating to your use of the Site. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have
    undertaken using the Site. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

  13. Knowledge Lab Site Management
    13.1. We may at our sole discretion:
    13.1.1. monitor the Site for violations of these Terms;
    13.1.2. take appropriate legal action against anyone who, in our sole discretion, violates applicable law or these Terms or Privacy Policy, including without limitation, reporting such user to law enforcement authorities;
    13.1.3. in our sole discretion remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and
    13.1.4. otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.

  14. Viruses
    14.1. We do not guarantee that our Site will be secure or free from bugs or viruses.
    14.2. You are responsible for configuring your information technology, computer programmes and platform(s) to access our Site. You should use your own virus protection software.

  15. Rules about linking to the Knowledge Lab Site
    15.1. You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
    15.2. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
    15.3. You must not establish a link to our Site in any website that is not owned by you.
    15.4. Our Site must not be framed on any other site, nor may you create a link to any part of our Site other than the home page.
    15.5. We reserve the right to withdraw linking permission without notice.
    15.6. The website in which you are linking must comply in all respects with the content standards set out in these Terms and / or any other acceptable use policy or agreement we make available to you from time to time.

  16. Breach of these Terms
    16.1. These Terms shall remain in full force and effect while you use the Knowledge Lab Site. We reserve the right to suspend or terminate your access to the Site if any of these Terms and / or the applicable Statement of Work are breached. If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party unless you obtain our express written permission.

  17. Governing Law and Jurisdiction
    17.1. These Terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law and are subject to the exclusive jurisdiction of the courts of England and Wales.
